Codification Ref: TOS-MAS-2026.4 · In Full Legal Effect Upon Any Authentication or HTTP Request
PLEASE READ WITH EXTREME ATTENTION: THIS DOCUMENT COMPRISES A RIGOROUS, LEGALLY ENFORCEABLE ADHESION CONTRACT. BY VISITING, AUTHENTICATING, DEPLOYING, OR TRANSACTING ON bookwithqr (ACCESSIBLE VIA bookwithqr.com, app.bookwithqr.com, AND CONNECTED INFRASTRUCTURE), YOU EXPLICITLY AND IRREVOCABLY AGREE THAT THE PLATFORM IS PROVIDED ON AN STRICT “AS-IS” AND “AS-AVAILABLE” BASIS. UNDER NO CIRCUMSTANCE WHATSOEVER SHALL bookwithqr BE PECUNIARILY LIABLE FOR, NOR SHALL ANY REFUND, RESTITUTION, OR REBATE BE ACCORDED FOR: UNANTICIPATED SERVER OUTAGES, COMPLETE SERVICE DOWNTIME, CORRUPTION OR TOTAL ERASURE OF STORED DATA, SOFTWARE INACCURACIES, LOSS OF APPOINTMENT BOOKINGS, OR BUSINESS DISRUPTIONS.
Article 1.Acceptance of Agreement, Capacity & Corporate Assent
This Master Agreement represents an inviolable contractual instrument executed between bookwithqr (“Company”, “Licensor”, “we”, “us”, or “our”) and the business entity, proprietor, legal person, or subscriber (“Tenant”, “User”, “Subscriber”, or “you”) accessing or utilizing our digital booking portal, point-of-sale subsystem, customer relationship management module, or inventory tracking algorithms.
By accessing any portion of the software, generating an administrative profile, clicking “Start Free Trial” or “Sign In”, or executing payment consideration, you warrant that you possess undisputed legal majority, requisite corporate capacity, and express authorization to bind your enterprise to this Agreement. If you decline assent to any provision herein, you must immediately terminate execution of all web sessions and cease any interaction with the platform.
Article 2.Acceptable Use Codex & Absolute Proscription of Exploits
The Tenant is accorded a revocable, non-exclusive, non-transferable, non-sublicensable limited software license to access bookwithqr solely for legitimate commercial business administration. The Tenant covenants that it shall NOT, directly or via third-party proxy:
- Decompile, disassemble, reverse engineer, decrypt, or attempt to derive the human-readable source representations of our proprietary client binaries, Next.js server runtime, database schemas, or routing proxies;
- Deploy robotic scrapers, automated spiders, web crawling spiders, data mining scripts, or unsolicited programmatic extraction routines against our endpoints;
- Probe, scan, penetrate, benchmark, or conduct unauthorized vulnerability assessments against our multi-tenant authorization boundaries, Supabase Row-Level Security (RLS) policies, or authentication middlewares;
- Transmit malicious payloads, polymorphic viruses, logic bombs, SQL injection payloads, cross-site scripting vectors, or unsolicited bulk messaging communications (“spam”) via automated Telegram, Viber, or SMS notification interfaces;
- Sublicense, lease, resell, syndicate, white-label, or commercially exploit platform access without express bilateral written execution from the Company’s executive officers.
Article 3.Tenant Responsibilities, Tax Adherence & Independent Backup Covenants
The Tenant functions as an autonomous, independent commercial entity. The Company exercises zero managerial, custodial, or fiduciary oversight regarding the Tenant’s salon, spa, or barbershop operations. Specifically:
- Client Relationships: The Tenant assumes exclusive, unshared legal liability for all services rendered to salon patrons, safety standards, sanitary compliance, pricing disclosures, service outcomes, and transactional dispute resolution;
- Fiscal & Tax Compliance: The Tenant remains exclusively responsible for the assessment, calculation, reporting, and statutory remittance of all applicable Goods and Services Taxes (GST), Value Added Taxes (VAT), sales taxes, withholding taxes, or municipal levies arising from appointments and retail sales;
- Independent Backup Imperative: The Tenant acknowledges that cloud databases are susceptible to unforeseen computational contingencies. THE TENANT BEARS AN AFFIRMATIVE, INDEPENDENT LEGAL OBLIGATION TO ROUTINELY EXPORT AND PRESERVE LOCAL COPIES OF CLIENT LISTS, FINANCIAL LEDGERS, AND APPOINTMENT LOGS. THE COMPANY DISCLAIMS ALL BAILMENT OR SAFEKEEPING LIABILITIES.
Article 4.Unilateral Account Suspension, Immediate Revocation & Sanctions
The Company reserves the unassailable, unilateral right, exercisable at its sole and unfettered discretion without prior notification, judicial mandate, or compensatory liability, to immediately suspend, throttle, quarantine, or permanently revoke the account, access tokens, and digital portal of any Tenant that:
- Violates any term, condition, or proscription codified within this Master Agreement;
- Engages in fraudulent, deceptive, or abusive payment activities, including lodging unmerited bank chargebacks;
- Compromises the performance, stability, or multi-tenant database isolation of co-hosted subscriber organizations;
- Becomes subject to insolvency proceedings, creditor liquidation, or dissolution.
Upon administrative termination for breach, all tenant data may be expunged immediately without archival recourse, and all paid considerations are forfeited without refund.
Article 5.Absolute Disclaimer of Warranties (“AS-IS” & “WITH ALL FAULTS”)
TO THE MAXIMUM EXTENT SANCTIONED UNDER APPLICABLE JURISPRUDENCE, bookwithqr AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND CLOUD INFRASTRUCTURE PROVIDERS EXPLICITLY AND CATEGORICALLY DISCLAIM ANY AND ALL WARRANTIES, REPRESENTATIONS, GUARANTEES, AND CONDITIONS OF ANY NATURE, WHETHER STATUTORY, EXPRESS, IMPLIED, OR DERIVED FROM TRADE USAGE.
WE DISCLAIM WITHOUT LIMITATION ALL IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR ARTISANAL PURPOSE, TITLE, QUIET ENJOYMENT, UNINTERRUPTED AVAILABILITY, ACCURACY OF TIMETABLES, ERROR-FREE CODE EXECUTION, LOSSLESS TRANSIT OF TELEMETRY, OR NON-INFRINGEMENT. NO ADVICE, DOCUMENTATION, OR CORRESPONDENCE CONVEYED BY ANY COMPANY REPRESENTATIVE SHALL CONSTITUTE A WARRANTY OR EXPAND THE LIMITED PARAMETERS SPECIFIED HEREIN.
Article 6.Total Exculpation for Downtime, Data Deletion, Corruption & Non-Refundability
UNDER NO LEGAL CIRCUMSTANCE, HYPOTHETICAL CONTINGENCY, OR TORTIOUS CLAIM SHALL THE COMPANY BE HELD RESPONSIBLE, LIABLE, OR OBLIGATED TO PROVIDE MONETARY COMPENSATION OR RESTITUTION IF:
- Server Blackouts & Infrastructure Downtime: The platform suffers extended, intermittent, or continuous server downtime, network partitioning, packet dropping, cybernetic attacks, domain suspension, or total host outages;
- Catastrophic Data Erasure & Database Deletion: Any client list, customer record, appointment history, Point-of-Sale receipt, cash ledger balance, inventory count, or tenant database entity is corrupted, dropped, deleted, expunged, or rendered unrecoverable by bug, hardware collapse, cyber compromise, or administrative action;
- Third-Party Aggregator or Carrier Disruption: Telecommunications carriers, WhatsApp Business API endpoints, Telegram bot infrastructure, payment gateways, or notification relays fail, throttle, or delay message dispatches.
EXPLICIT NON-REFUND MANDATE: THE SUBSCRIBER RECOGNIZES THAT AS CONSIDERATION FOR ACCESS TO OUR FLAT-FEE, ZERO-COMMISSION PRICING (₹2,999/MONTH OR ₹18,000/YEAR), NO REFUND, CREDIT, SET-OFF, OR PECUNIARY RESTITUTION SHALL EVER BE AWARDED UNDER ANY EVENTUALITY DOWNTIME, DATA LOSS, OR SYSTEM ERROR. ALL REMITTANCES ARE FINAL, NON-REVERSIBLE, AND NON-REFUNDABLE.
Article 7.Ceiling on Aggregate Pecuniary Damages & Waiver of Consequential Harm
IN NO EVENT SHALL THE COMPANY, ITS FOUNDERS, AGENTS, SUPPLIERS, OR DISTRIBUTORS BE LIABLE UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY EQUITABLE DOCTRINE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF REVENUE, LOST PROFITS, REPUTATIONAL DAMAGE, LOSS OF BOOKINGS, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR BUSINESS INTERRUPTION.
THE AGGREGATE, CUMULATIVE PECUNIARY LIABILITY OF THE COMPANY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE SHALL UNDER NO CIRCUMSTANCES EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY THE TENANT TO THE COMPANY IN THE PRECEDING ONE (1) CALENDAR MONTH, OR (B) ONE HUNDRED RUPEES (₹100 INR / $1.50 USD).
Article 8.Governing Jurisprudence, Mandatory Arbitration & Class Action Waiver
This Agreement shall be interpreted and governed in accordance with the substantive laws of the Republic of India, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this contract, its breach, termination, or invalidity, shall be resolved through binding, confidential arbitration conducted under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by the Company.
THE TENANT WAIVES ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, CONSOLIDATED LITIGATION, OR REPRESENTATIVE PROCEEDING AGAINST THE COMPANY.
